The winthrop rink mission: we work to foster community through the joys of outdoor skating and recreation

Responsibilities of the Board

  • Duty of care: Act with the same level of caution that a reasonably prudent person would use in a similar situation. This includes staying informed and actively participating in discussions and decisions.

  • Duty of loyalty: Place the organization's interests ahead of any personal or professional interests and disclose any potential conflicts.

  • Duty of compliance: Ensure the organization operates in compliance with all relevant laws, the corporate bylaws, and its stated mission.

As the highest leadership body of the Winthrop Rink and to satisfy its fiduciary duties, the board is responsible for:

  • Determining the mission of the Winthrop Rink and understanding its collective purpose

  • Selecting, supporting, and evaluating the performance of the executive director

  • Strategic and organizational planning, in partnership with the day-to-day planning and operations led by the Winthrop Rink’s Executive Director and executed by Winthrop Rink Managers and Staff

  • Ensuring strong fiduciary oversight and financial management, including reviewing and approving all budgets, providing ongoing monitoring of the Winthrop Rink’s financial health, and taking action should concerns arise.

  • Fundraising and resource development

  • Approving and monitoring the Winthrop Rink’s programs, policies, and services, including oversight on pertinent deadlines for the Executive Director

  • Enhancing the Winthrop Rink’s public image and helping share volunteer opportunities and ways the community can participate in support of the Winthrop Rink (Example: volunteer scorekeepers for tournaments or volunteers for installing/removing Sport Court)

  • Assessing its own performance as the governing body of the Winthrop Rink and following and maintaining current Bylaws

  • Ensuring legal and ethical integrity

Responsibilities of Individual Board Members

Expectations of Board Members (5-7 hours per month on average)

  • Attend monthly board meetings, held on the second Tuesday of the month; 5:00pm-7:00pm at the Winthrop Rink (upstairs meeting room). 

  • Serve on at least one board committee (committees typically meet 4-6 times per year). Additional “task force committees” may be formed based on Winthrop Rink activities and may require more time for a fixed period of time, then dissolve once the project or need is completed. 

  • Board members are asked to attend an annual day-long board retreat. 

  • Two year terms, which may be renewed an additional three times, with a total consecutive term maximum of 8 years.

Each individual board member is expected to:

  • Attend and participate in board meetings on a regular basis. If unable to attend a board meeting, communicate this in advance to the Board President and/or Executive Director. Prepare for meetings through review of all materials sent out ahead of time.

  • Know the Winthrop Rink’s mission, policies, programs, and needs as well as understand its collective purpose

  • Faithfully read and understand the Winthrop Rink’s financial statements and board materials in advance of meetings and participate in discussions focused on fiduciary responsibility. 

  • Serve as active advocates and ambassadors for the Winthrop Rink, maintaining confidentiality as needed. 

  • Fully engage in identifying and securing the financial resources (fundraising) and partnerships necessary for the Winthrop Rink to advance its mission, as well as participate in fundraising efforts and activities

  • Engage in learning opportunities to better understand the community we serve

  • Respect the experiences of all who bring their voices and lived experiences into the boardroom and the Winthrop Rink

  • Board development: Participate in the recruitment and orientation of new board members to ensure a smooth and effective leadership transition
